Capricor Therapeutics Inc. faces escalating shareholder pressure as investment firm Kaos Capital Ltd. sent a letter Friday demanding an immediate meeting with the board, calling for comprehensive governance restructuring, aggressive cash preservation measures, and strategic adjustments.

Kaos Capital plans to nominate two independent director candidates and establish a mergers and acquisitions and strategic alternatives committee chaired by a shareholder-backed director, steering the company away from sole reliance on its primary asset, Deramiocel.

Capricor Therapeutics' Soaring Spending Fuels Cash Preservation Push

Kaos Capital flagged significant spending concerns, noting that Capricor reported cash, cash equivalents, and marketable securities of $237.9 million as of June 30, 2026—down $80.2 million from the end of 2025.

Total operating expenses for the first half of 2026 reached $79.7 million, with general and administrative expenses at $23.5 million, roughly doubling compared to the same period in 2025.

Accordingly, the shareholder group urges the adoption of a formal cash preservation plan, including an immediate freeze on non-essential spending and a zero-based review of administrative costs.

Expanding Beyond Single-Asset Risk

While Kaos Capital acknowledges Deramiocel's potential, it opposes concentrating all capital and future regulatory risk on a single outcome.

The firm advocates operating Capricor as a disciplined biotechnology platform, evaluating strategic acquisitions and partnerships in complementary areas such as inflammation, fibrosis, tissue repair, targeted delivery, and regenerative medicine to diversify risk and create long-term value.

Addressing Legal Overhangs and Governance Oversight

To reduce ongoing costs and reputational risk, Kaos Capital requires the board to retain top-tier independent legal counsel to promptly resolve multiple pending legal disputes and securities litigation.

Additionally, the investor calls for an independent review of internal oversight processes to establish a constructive, shareholder-friendly corporate environment.
