BioXcel Therapeutics, Inc. shares plunged on Friday after the company initiated voluntary Chapter 11 bankruptcy proceedings tied to a court-supervised asset sale process.

The stock's decline stood out even within the volatile healthcare sector, with BioXcel listed among Friday's premarket movers, dropping 61.8% to $0.27, implying a market cap of approximately $22.5 million.

BioXcel Plunges on Teva Asset Deal and Chapter 11 Filing

BioXcel Therapeutics entered into an asset purchase agreement with Teva Pharmaceutical Industries Ltd.'s subsidiary, Teva Pharmaceutical International GmbH.

The transaction covers all assets, including IGALMI (dexmedetomidine) sublingual film, as well as a pending supplemental new drug application (sNDA) for BXCL501 for potential at-home use.

Alongside the agreement, the company and certain subsidiaries filed voluntary Chapter 11 bankruptcy cases in the U.S. Bankruptcy Court for the District of Delaware to facilitate a court-supervised "363" auction, with Teva designated as the stalking horse bidder.

BioXcel Therapeutics CEO Dr. Vimal Mehta stated: "After a thorough review of strategic alternatives, we believe this option provides a clear framework for maximizing value."

"Our priority is to execute an efficient and orderly sale process while supporting all our stakeholders and continuing to advance the supplemental new drug application with a PDUFA date of November 14, 2026."

At $0.27, BioXcel Therapeutics remains well below its 20-day, 50-day, 100-day, and 200-day moving averages, underscoring persistent technical weakness.

The wide gap highlights sustained selling pressure, and any rebound is likely to face significant overhead resistance before approaching longer-term trend levels.
