Combat Group Limited shares traded sharply higher in Thursday midday trading after the company completed a $4 million private placement at a significant premium.

A Texas family office purchased 4 million shares of common stock at $1.00 per share. The purchase price represents a premium of approximately 160% compared to Wednesday's closing price of 38 cents.

Investor reaction appears buoyed by the terms of the deal, which consisted entirely of common stock. No warrants, options, or convertible securities were issued, avoiding potential future share dilution.

Additionally, no broker, placement agent, or investment banking commissions were paid in the transaction, allowing the company to retain the full $4 million in proceeds.

The company plans to use the net proceeds for general working capital to support its ongoing strategic expansion and enhance financial flexibility.

Management Commentary

MMA.INC founder and CEO Nick Langton highlighted the significance of the transaction to the company's financial position.

"This is an exceptionally significant financing for MMA given the price, structure, and source of the capital," said Langton. "The $4 million was raised at $1.00 per share, a premium of approximately 160% to our market close on August 19, executed through common stock with no warrants or convertible securities and no placement agent commissions."
