Edesa Biotech, Inc. shares fell nearly 13% in Thursday premarket trading after the company priced a $25 million public stock offering.

Edesa Biotech shares dropped 18.27% to $4.70 in Wednesday's after-hours trading, drawing traders' attention.

The move follows the company's Q3 earnings report, which was released after the bell four days ago.

What Is Edesa Biotech's Financing Deal?

Edesa is raising funds by issuing 3.87 million common shares and up to 675,000 pre-funded warrants, with each pre-funded warrant paired with a warrant to purchase common shares.

Common share units are priced at $5.50, and pre-funded warrant units are priced at $5.4999.

The new issuance has raised concerns over dilution for existing shareholders.

The accompanying warrants have an exercise price of $7.50 and are exercisable for 18 months or 30 days after the company announces Phase II topline data for EB06 in vitiligo, whichever comes first.

Underwriters also received a 30-day option to purchase up to an additional 681,825 shares and accompanying warrants. The offering is expected to close around August 21.

Edesa plans to use the proceeds for general corporate purposes, including working capital, research and development, manufacturing, and capital expenditures. Guggenheim Securities is the sole lead underwriter.

Edesa is a clinical-stage biopharmaceutical company focused on developing host-directed therapies for immuno-inflammatory diseases.
