RUM Group Inc. entered into a binding warrant term sheet with an unrelated U.S. third-party cloud customer on Sunday, August 23, while also reaching a significant commercial agreement.

Under this six-year contract, the customer will purchase access to the company's graphics processing units and GPU services located in Mestia, Georgia.

The total order value of the commercial agreement is approximately $13.7 billion, evenly divided into three distinct tranches.

To establish binding obligations or liabilities for the third tranche, the customer must first review and approve the company's proposed delivery dates with reasonable discretion.

Both parties will negotiate in good faith to finalize the definitive warrant agreement.

Warrant Terms and Equity Structure

RUM noted in Monday's SEC filing that the binding term sheet provides for the issuance of warrants granting the customer the right to purchase up to 50.81 million Class A shares at an exercise price of $0.01 per share.

The exercise of these warrant shares is directly tied to the customer's purchases under the commercial agreement and any potential future expansion agreements.

The initial 50% of the warrant shares is divided into three tranches, each representing 16.67%, vesting as the customer completes purchase requirements for the first three commercial tranches.

The remaining 50% of the warrant shares is eligible to vest across five expansion tranches, each representing 10%, provided the parties execute subsequent commercial agreements for additional GPU services within the contract term.

Expansion Tranches and Termination Provisions

To vest all five expansion tranches, the customer must purchase GPU services exceeding two and a half times the volume delivered under the primary three tranches.

Any unvested portion of the warrants will automatically terminate upon the expiration or termination of the commercial or expansion agreements, or in the event of an uncured material payment default by the customer.

RUM stock performance: RUM Group shares rose 5.30% to $9.52 at the time of Monday's data release.
