Sadot Group Inc. shares fell on Tuesday as investors weighed a revised stock resale registration and the resignation of the chief financial officer.

The amended S-1 registration covers up to 4.25 million shares of common stock. That equates to approximately 292% of the 1.45 million shares outstanding as of August 21.

The total includes up to 2.5 million shares related to an equity purchase facility. It also includes approximately 1.75 million shares issuable under a $4 million note issued in July and a proposed second note of $1 million.

The filing does not imply that all registered shares will be sold. However, issuing new shares could dilute existing shareholders' equity. Subsequent sales or expectations of such sales could also pressure Sadot's stock price.

Financing Increases Dilution Risk

Sadot will not receive proceeds when resale shareholders sell their shares. However, it could receive up to $50 million in gross proceeds if it sells new shares to equity facility investors. The company may also receive $900,000 from the proposed second convertible note.

The adjusted fixed conversion price for the initial note is $8 per share. It also has a variable conversion mechanism with a floor of $2.85.

The amended filing reduces the number of registered conversion shares from approximately 3.51 million to 1.75 million.

Sadot stated that recurring operating losses, negative working capital, debt defaults, and its shareholder deficit raise substantial doubt about its ability to continue as a going concern. As of June 30, the company had $100,000 in cash, a working capital deficit of $13.6 million, and a shareholder deficit of $5.9 million.

CEO Serves as Interim CFO

Separately, Chief Financial Officer Oren Attiya resigned for personal reasons, effective August 23. Attiya stated his departure does not involve any disagreement with Sadot.

The board appointed CEO Haggai Ravid as interim CFO, principal financial officer, and principal accounting officer. Sadot has begun searching for a permanent replacement.

Under the separation agreement, Sadot agreed to issue 6,000 restricted shares to Attiya.

SDOT Stock Performance: At the time of data release on Tuesday, Sadot Group shares fell 36.45% to $14.71.
