US Rare Earth shares traded lower on Monday, following a broader pullback in small-cap critical mineral stocks. Here's what investors need to know.

Government-Backed Financing Completes Key Serra Verde Merger Condition

Despite major operational and financing updates announced Monday morning, shares remained weak. The update confirmed the completion of an upsized $1.55 billion financing for a special purpose entity to acquire 100% of Phase 1 rare earth product output from the Serra Verde Group.

The milestone satisfies a key closing condition for the merger vote scheduled at a special shareholder meeting this Friday.

U.S. Department of Defense Expands Financing Commitment

The updated financing structure includes $750 million in equity backed by the U.S. Department of Defense, an increase of $250 million from the original requirement, arranged under a standby underwriting agreement with a floor price.

Additionally, a tier-one institutional bank provided a commitment letter for a senior secured credit facility of up to $500 million, while the U.S. government entered into a forward purchase contract for at least $300 million in rare earth products over five years.

Pela Ema Mine Acquisition Enables Vertically Integrated Supply

Upon deal completion, US Rare Earth will acquire the Pela Ema mine in Brazil, becoming the only mine outside Asia to commercially produce all four critical magnetic rare earths.

The resulting supply will feed directly into the company's downstream magnet manufacturing facility in Stillwater, Oklahoma, which targets an annual production capacity of 600 metric tons by Q4 2026.

USAR Shares Slide on Monday

USAR price action: US Rare Earth stock was down 5.14% at $18.27 as of Monday's data release.
