Veea Inc. shares fell 16.90% in after-hours trading Wednesday after the company disclosed in an 8-K filing a $1.15 million unsecured loan and plans for a 1-for-20 reverse stock split.

The stock closed Wednesday's regular session down 5.91% at $0.12, then dropped 16.90% to $0.10 in after-hours trading.

Veea is a provider of AI-driven, cybersecurity-focused edge infrastructure.

$1.15 Million Demand Loan

In the 8-K filing submitted Wednesday, Veea disclosed three unsecured loans from NLabs Inc., the company's major shareholder and an affiliate of CEO Allen Salmasi.

The loans total $1.15 million, with principal amounts of $450,000, $450,000, and $250,000. The notes carry an annual interest rate of 10% and are due on December 31, 2026, or upon demand by NLabs. Veea stated the loan proceeds will be used for working capital.

1-for-20 Reverse Stock Split

Veea also disclosed plans for a 1-for-20 reverse stock split. The company said its board approved the split on August 10, and plans to file the related amendment with Delaware officials on August 28.

The reverse split will take effect at 4:30 p.m. Eastern Time on August 28, and VEEA shares are expected to begin trading on a split-adjusted basis at the market open on August 31.

Every 20 shares of common stock will be converted into one share. The company will also proportionally adjust the exercise prices and share counts related to outstanding preferred stock, options, and warrants.

Following the split, each public warrant will represent the right to purchase 1/20 of a share at an exercise price of $230.00 per whole share. Because warrants cannot be exercised for fractional shares, holders will need 20 public warrants to purchase one share.

Totalplay Qualification Completed

Additionally, Veea announced that its VHC25 VeeaHub has completed technical qualification with Totalplay Telecomunicaciones in Mexico.

This milestone advances the plan to offer Veea SecureConnect and VigiLynx to Totalplay's commercial customers. The two companies have also signed a cooperation agreement to combine Totalplay's fiber connectivity and managed services business with Veea's cloud-managed edge platform.

As of June 30, 2026, Totalplay has approximately 5.7 million users, and its network covers 19.5 million households.

Veea's market capitalization is approximately $7.63 million.

The stock's 52-week high is $0.93, and its 52-week low is $0.11.

VEEA shares have fallen 79.58% over the past year.
