Convertible Note Offering
WhiteFiber priced $270 million of 5.00% convertible senior notes in a private placement to qualified institutional buyers, up from the previously announced $250 million.
Initial purchasers also have an option to buy up to an additional $40 million in notes. The offering is expected to close on August 21, 2026, subject to customary conditions.
The senior unsecured notes will mature on September 1, 2032, paying 5.00% annual interest semiannually starting March 1, 2027.
The initial conversion rate is 29.5530 shares per $1,000 principal amount, equivalent to a conversion price of approximately $33.84 per share, representing a 25% premium over the August 18 closing price.
WhiteFiber may redeem the notes for cash starting September 6, 2030, subject to specific conditions, including the stock price reaching at least 130% of the applicable conversion price during the required trading period.
The redemption price will equal 100% of the principal amount plus accrued and unpaid interest.
