Shares of ZIM Integrated Shipping Services Ltd. surged nearly 7% in pre-market trading Tuesday following news that Hapag-Lloyd and private equity fund FIMI are revising their $4.2 billion cash acquisition offer.

Addressing Security Concerns

According to Reuters, the initial all-cash offer of $35.00 per share faced strong opposition in Israel from ZIM employees, Defense Minister Israel Katz, and government officials. Opponents argued that the deal would place critical shipping operations under foreign control, endangering national security.

Hapag-Lloyd has held multiple rounds of discussions with Israel's Ministry of Economy, Ministry of Finance, and Ministry of Defense "to revise the structural elements of the proposed acquisition."

"We are developing an improved plan aimed at further strengthening Israel's maritime security and independence," Hapag-Lloyd CEO Rolf Habben Jansen said in a statement. He added that the revised plan "will ensure Israel's access to key shipping routes, including those from Asia."

Structural Revisions and "Golden Share"

According to the company's statement, under the revised deal, Hapag-Lloyd aims to solidify its position as the world's fifth-largest shipping group. Meanwhile, FIMI will acquire ownership of a dedicated company named ZIM Israel, which will spin off 16 vessels to ensure direct global maritime connectivity and assume full responsibility for Israel's "golden share."

Per Reuters, to limit foreign influence, Hapag-Lloyd has proposed lowering the maximum single foreign investor shareholding threshold requiring no government notification from 24% to 10%. FIMI has also committed not to list ZIM Israel's shares on foreign stock exchanges.

"The agreement will also prevent any foreign power from interfering with the transportation of Israel's sensitive cargo, which is a significant improvement over existing arrangements," Habben Jansen said.

The revised plan is scheduled to be submitted to the Israeli cabinet later this month.

Share price movement: As of the latest check, ZIM shares in pre-market trading Tuesday are up 6.70%. The stock has gained 34.62% year-to-date, risen 114.40% over the past year, and declined 0.94% over the past six months. On Friday, the stock closed up 3.59% at $28.58 per share.
