BioMarin Pharmaceutical Inc. agreed Tuesday to acquire Alesta Therapeutics, strategically gaining its lead clinical-stage asset, ALE1.
The acquisition is intended to significantly enhance BioMarin's portfolio through a potential first-in-class oral treatment for a rare genetic bone disease.
Financial Terms and Strategic Spin-Off
BioMarin will pay Alesta shareholders an upfront cash consideration of $275 million. The agreement also includes up to an additional $215 million in potential payments tied to future regulatory and development milestones. BioMarin plans to fully finance the acquisition using existing cash reserves.
Before the transaction closes at the end of the current quarter, Alesta will transfer all of its non-ALE1 assets and existing employees to a newly formed spin-off entity.
BioMarin expects to issue revised full-year 2026 financial guidance upon closing, noting the acquisition will have a modest dilutive effect on annual results, excluding the upfront payment.
Targeting Rare Genetic Bone Disease
ALE1 is currently being evaluated as an oral small-molecule therapy for hypophosphatasia, a rare condition caused by mutations in the ALPL gene.
An ongoing Phase 1/2a trial is testing the drug's safety, tolerability, and pharmacokinetics in healthy subjects and adult patients with HPP.
The disease significantly impacts bone and tooth mineralization.
Analysts See Long-Term Value in ALE1
William Blair resumed coverage of BioMarin with a Market Perform rating, noting ALE1 is a logical fit for BioMarin and suggesting the asset could create meaningful long-term value for the company.
Analyst Sami Corwin noted that AstraZeneca Plc's Strensiq generated approximately $1.7 billion in revenue in 2025 and is the only approved HPP therapy.
Analyst Corwin wrote that while Strensiq is an injectable enzyme replacement therapy designed to replace deficient tissue-nonspecific alkaline phosphatase, ALE1 is designed to reduce excess inorganic pyrophosphate.
If successful, the combination of oral administration and differentiated biology could position ALE1 favorably in the treatment landscape.
BMRN share activity: BioMarin Pharmaceutical stock rose 1.65% to $67.73 at the time of Tuesday's data release.
